Crathes Audio Software Licence

1. Who this licence is between

This licence is between Scott Gordon, trading as Crathes Audio (“Crathes Audio”), and the named individual whose Crathes Audio account holds the entitlement (“you”).

It covers the software product and version identified in the accompanying PACKAGE.json, including its bundled documentation (“the Software”).

2. Your licence

Subject to this licence, Crathes Audio grants you a worldwide, non-exclusive, non-transferable and perpetual right to:

• install and use the downloaded version of the Software, up to the installation cap stated for your entitlement;
• make reasonable backup copies for your own use; and
• create, perform, publish, sell, license and otherwise commercially exploit music, sound and other audio made using the Software, without any further royalty or attribution to Crathes Audio.

These restrictions apply to the Software, not to audio you create with it.

“Perpetual” means your right to use the downloaded version does not end merely because a newer version is released. Activation may be used to enforce the installation cap. If Crathes Audio permanently withdraws activation for that version, it will provide a reasonable method for legitimate licence holders to continue using it.

3. What you must not do

You must not:

• share your account, activation material or entitlement with another person;
• permit another person to use the Software under your entitlement;
• sell, rent, sublicense, assign or transfer the Software or this licence;
• copy, publish, redistribute or otherwise make the Software available, except for your permitted backup copies;
• bypass activation or the installation cap; or
• reverse engineer, decompile or disassemble the Software, except where applicable law expressly gives you that right.

4. Ownership and third-party software

The Software is licensed, not sold. Crathes Audio and its licensors retain ownership of the Software and their intellectual-property rights.

Third-party components remain subject to the licences identified in THIRD_PARTY_NOTICES.md and any other bundled licence notices. This licence does not reduce rights that those licences grant for those components.

If PACKAGE.json states juceLicenseBasis as agpl-3.0, the accompanying LICENSE governs copying, modification and redistribution of the Software and prevails over any inconsistent restriction in this licence.

5. Updates, downloads and support

This licence does not automatically include future major versions, new products or additional services unless Crathes Audio expressly says otherwise.

Keep a backup of the downloaded package. A perpetual licence does not promise that the original download will remain hosted indefinitely.

6. Ending this licence

Crathes Audio may terminate this licence if you materially breach it and do not remedy the breach within 14 days after written notice, where the breach can be remedied.

On termination, you must stop using the Software and delete your copies. Rights already granted for audio created lawfully before termination are unaffected.

7. Consumer rights and other terms

Nothing in this licence limits statutory consumer rights or excludes liability that cannot lawfully be excluded.

The Terms and Conditions accepted when the Software is supplied govern its purchase, cancellation, refunds and related services.

8. Governing law

This licence is governed by Scots law. The courts of Scotland have jurisdiction, but consumers may also use any court available to them under mandatory consumer law.
